1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the EPIC Health PBC website, partner portal, and related services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using the Services, you represent and warrant that you meet these requirements.

3. Partner Network

The EPIC Health Partner Network is an invitation-only program. Acceptance into the program is at our sole discretion. Partners are independent contractors and not employees, agents, or representatives of EPIC Health PBC. Partners are responsible for compliance with all applicable laws, regulations, and ethical standards in their promotional activities.

4. Prohibited Conduct

• Making false, misleading, or unsubstantiated claims about our products or services
• Engaging in spam, unsolicited communications, or deceptive marketing practices
• Using our trademarks or branding without prior written consent
• Interfering with the security or integrity of our systems
• Violating any applicable law or regulation

5. Fees and Payments

Participation in the Partner Network may involve setup and monthly fees as communicated during the onboarding process. Commission structures, payout schedules, and payment terms are described in your partner agreement. We reserve the right to modify fees with reasonable notice.

6. Intellectual Property

All content, trademarks, logos, and materials on our website and Services are the property of EPIC Health PBC or its licensors. You may not copy, modify, distribute, or create derivative works without our express written permission.

7. Limitation of Liability

To the fullest extent permitted by law, EPIC Health PBC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services. Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

8. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, all provisions that by their nature should survive termination shall survive.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
